Platform Purpose
Business Direct Sales provides a platform that enables business owners and prospective buyers to connect, communicate, and exchange information relating to businesses that may be offered for sale.
BDS is a technology platform only.
BDS is not a broker, business agent, accountant, lawyer, valuer, financial adviser, or representative of any buyer or seller.
BDS does not provide legal, financial, taxation, accounting, valuation, brokerage, or professional advisory services.
Any transaction, negotiation, due diligence process, agreement, or decision made between users is solely the responsibility of those users.
Account Registration
To access certain features of the platform, you may be required to create an account.
You agree to:
- Provide accurate and complete information
- Keep your account information up to date
- Maintain the confidentiality of your login credentials
- Accept responsibility for activities that occur under your account
You must notify BDS promptly if you become aware of any unauthorised use of your account.
Listings and User Content
Users may submit, upload, publish, or transmit content through the platform, including:
- Business listings
- Business information
- Photos
- Videos
- Documents
- Messages
- Enquiries
- Descriptions and other content
You are solely responsible for the content you submit to the platform.
You represent that you have the necessary rights, permissions, and authority to submit such content.
BDS does not verify, endorse, guarantee, or warrant the accuracy, completeness, legality, or reliability of user-generated content.
Enquiries and Messaging
BDS may provide tools that allow users to communicate through enquiries, messaging, notifications, or related platform functionality.
BDS is not a party to:
- Negotiations
- Discussions
- Agreements
- Contracts
- Transactions
- Disputes between users
Users are solely responsible for the communications and arrangements they make through the platform.
No Guarantee of Sale or Outcome
BDS does not guarantee:
- Enquiries
- Leads
- Prospective buyers
- Offers
- Sales
- Business valuations
- Transaction outcomes
- Business performance outcomes
The success of any listing or transaction depends on many factors outside the control of BDS.
Packages, Subscriptions and Add-On Services
Certain features, services, subscriptions, packages, or add-ons may require payment.
BDS reserves the right to introduce, modify, replace, suspend, or discontinue pricing, packages, subscriptions, features, or services at any time.
Additional terms may apply to paid services where relevant.
Acceptable Use
You agree not to:
- Submit false or misleading information
- Create fake accounts
- Create fake listings
- Submit fraudulent enquiries
- Engage in unlawful conduct
- Upload malicious software or harmful content
- Interfere with platform operations
- Scrape, harvest, or extract data without authorisation
- Use automated systems or bots without permission
- Attempt to gain unauthorised access to systems or accounts
- Violate applicable laws or regulations
Suspension and Termination
BDS may suspend, restrict, remove, or terminate access to accounts, listings, content, or services at its discretion where necessary to:
- Protect users
- Protect the platform
- Investigate suspected misconduct
- Enforce these Terms of Service
- Comply with legal obligations
Limitation of Liability
To the maximum extent permitted by law, BDS is not responsible for:
- User-generated content
- Listings
- Enquiries
- Messages
- Negotiations
- Transactions
- Contracts between users
- Business decisions
- Business outcomes
- Loss of profits
- Loss of opportunities
- Indirect or consequential losses
Nothing in these Terms of Service excludes, restricts, or modifies any rights that cannot be excluded under applicable Australian consumer protection laws.
Indemnity
You agree to indemnify and hold harmless BDS and its officers, employees, contractors, and representatives from claims, losses, damages, liabilities, costs, and expenses arising from:
- Your use of the platform
- Your content
- Your breach of these Terms of Service
- Your violation of applicable laws
- Disputes between you and other users
Changes to These Terms
BDS may update these Terms of Service from time to time.
Updated versions will be published on this page with a revised effective date.
Your continued use of the platform after changes are published constitutes acceptance of the updated terms.
Governing Law
These Terms of Service are governed by the laws of Victoria, Australia.
Any disputes relating to these Terms of Service or the use of the platform will be subject to the applicable courts of Victoria, Australia.
